1. Introduction and Business Identity

These Terms and Conditions (“Terms”) govern the access to and use of the website, learning management system (LMS), and educational services provided by Financial Mind (PTY) LTD (“Financial Mind”, “we”, “us”, or “our”), a registered private company in the Republic of South Africa.

 

By registering for a course, creating a user account, purchasing training materials, or accessing our platform, you (“Learner”, “Client”, or “User”) agree to be bound by these Terms in full. If you are accepting these Terms on behalf of a corporate entity or employer, you represent and warrant that you have full legal authority to bind that entity.

 

2. Legal and Regulatory Disclaimer

IMPORTANT DISCLAIMER: All learning programmes, courses, Product-Specific Training (PST), Security Awareness Training (SAT), webinars, assessments, and reference materials provided by Financial Mind (PTY) LTD are strictly for educational, training, and Continuous Professional Development (CPD) purposes only.

  1. No Financial Advice: Nothing contained on our platforms, within our course content, or communicated by our Subject Matter Experts (SMEs) constitutes legal, tax, investment, accounting, or financial advice under the Financial Advisory and Intermediary Services (FAIS) Act 37 of 2002, or as regulated by the Financial Sector Conduct Authority (FSCA).

     

  2. Professional Discretion: Learners and financial service providers (FSPs) must exercise their own professional judgment and perform independent due diligence before making financial decisions or providing advice to clients.

     

3. Account Registration & LMS Access

  1. Third-Party Platform: Training is hosted on a 3rd Party Learning Management System (LMS) powered by MoodleCloud. Access to the LMS is granted subject to active course enrollment and compliance with these Terms.

     

  2. Account Security: Users are responsible for maintaining the confidentiality of their LMS login credentials (username and password).

     

  3. Non-Transferability: User accounts and course enrollments are strictly individual. Sharing login credentials, allowing unauthorized third parties to access course content, or completing assessments on behalf of another individual is strictly prohibited and constitutes a breach of academic integrity resulting in immediate account termination without refund.

     

  4. Access Duration: Access to course modules and materials is granted for the specific timeframe indicated during enrollment (e.g., 6 or 12 months). Upon expiration of the period, access will automatically lapse unless renewed.

     

4. Payments, Billing & Fees

  1. Payment Gateways: All financial transactions for course enrollments, CPD subscriptions, and training solutions are processed securely via our accredited third-party payment gateways, Yoco and Peach Payments.

     

  2. Fee Payment: Course fees must be paid in full prior to gaining access to the LMS or receiving course materials, unless a formal corporate invoice or written payment agreement has been executed with Financial Mind (PTY) LTD.

     

  3. Currency & Taxes: All prices listed on our website and marketing channels are in South African Rand (ZAR) and include Value Added Tax (VAT) where applicable.

     

5. Cancellations, Refunds & Transfers

  1. Cooling-Off Period: In terms of the Consumer Protection Act 68 of 2008 (CPA), individual consumers purchasing online courses are entitled to cancel their enrollment within 7 (seven) business days of purchase, provided that:

     

    • The learner has not logged into the MoodleCloud LMS platform; and

       

    • No course materials have been accessed, viewed, or downloaded.

       

  2. Non-Refundable Circumstances: Once a learner has logged into or accessed a course on the MoodleCloud LMS, or where the 7-day cooling-off period has lapsed, fees become strictly non-refundable.

     

  3. Course Transfers: Enrollment transfers to another individual or an alternative course module are subject to sole approval by Financial Mind (PTY) LTD and may incur an administrative handling fee.

     

  4. Platform Availability: Financial Mind is not liable for temporary service interruptions or downtime caused by MoodleCloud infrastructure maintenance, telecommunications failures, or internet service provider disruptions.

     

6. Intellectual Property (IP) Rights

  1. Ownership: All course materials, including text, videos, graphics, white-label training assets, assessment questions, presentations, and software scripts, are the exclusive intellectual property of Financial Mind (PTY) LTD or its contributing Subject Matter Experts (SMEs).

     

  2. Limited License: Enrolled learners are granted a limited, personal, non-exclusive, non-transferable license to access and view course content solely for their individual educational and CPD development.

     

  3. Restrictions: Users may not copy, reproduce, modify, distribute, sell, publish, record, broadcast, or create derivative works from any Financial Mind content without prior written consent.

     

7. CPD Accreditation and Reporting

  1. Provider Status: Financial Mind (PTY) LTD is an authorized Continuous Professional Development (CPD) provider registered with the Financial Planning Institute of Southern Africa (FPI).

     

  2. Criteria for CPD Allocation: CPD credits are awarded only upon meeting all course completion requirements, which may include minimum video watch times, mandatory attendance logs, and passing end-of-module assessments with the required pass mark.

     

  3. Data Accuracy: Learners are responsible for providing accurate personal details, ID numbers, and professional membership numbers (e.g., FPI numbers). Financial Mind accepts no liability for rejected CPD uploads resulting from inaccurate user data.

     

8. Limitation of Liability & Indemnity

  1. Limitation: To the maximum extent permitted by South African law, Financial Mind (PTY) LTD, its directors, employees, contractors, and Subject Matter Experts shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your access to, or inability to access, our learning platforms or course content.

     

  2. Indemnity: You agree to indemnify and hold harmless Financial Mind (PTY) LTD against any claims, losses, liabilities, expenses, or damages resulting from your breach of these Terms, misuse of our learning materials, or violation of any third-party rights.

     

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the South African courts.
